CONDITIONS GENERALES DE VENTE
1. APPLICABILITY
1.1 These General Terms of Sale aim to govern the contractual relationships between HAIRBORIST B.V., whose registered office is located at Steenovenstraat 54, 8760 Meulebeke (Belgium), registered with the Crossroads Bank for Enterprises under number BE0898695003, duly represented by its legal representative in office acting in this capacity at the registered office, referred to as "the Seller", and any natural or legal person contracting in a professional interest, referred to as "the Client", whose contact details are notably recalled at the top of the agreement binding the Parties.
1.2 Définitions des termes utilisés dans les présentes CGV :
- - Convention : partie du Contrat comportant un accord défini librement entre les parties (contrat cadre ou d’application, de distribution, de collaboration, de vente, etc.)
- GCC: General Collaboration Conditions (only applicable to certain agreements)
- CPC: Specific Collaboration Conditions (only applicable to certain agreements)
- GTS: General Terms of Sale
- Contract: the set of contractual provisions defining the relationships between the Seller and the Client, including the Agreement, if applicable the GCC and the CPC, these General Terms of Sale, any annexed documents, as well as any amendments.
1.3 All documents of the Contract form an inseparable whole contributing to the definition of the contractual relationships between the parties.
1.4 Only the professional client, whether a natural or legal person, can enter into this contract with the Seller.
1.5 The Contract comes into effect upon its conclusion. It can only be invoked for future relationships following said conclusion.
1.6 The GTC, CPC, and GVC are adhesion contracts. Thus, the Client fully, completely, and unreservedly accepts all the provisions of these documents, upon signing the Agreement or any document binding them to the Seller under the Contract. The said Client de facto waives their own GTC, CPC, and GVC.
1.7 The Contract takes precedence over all provisions or conditions that may appear on letters, documents, commercial slips, or, more generally, any other document issued by the Client, which are not enforceable against the Seller in their entirety.
1.8 The GTC, CPC, and GVC aim to complement or supplement the provisions of the Agreement. Unless otherwise stated, the CPC takes precedence over the GTC, which in turn takes precedence over the GVC. The signed Agreement by the parties and any potential amendments take precedence over all these documents.
1.9 The fact that the Seller does not invoke, at any given time, any of the clauses of the Contract, including GTC, CPC, and GVC, cannot be interpreted as a waiver to subsequently invoke said clause.
1.10 If, by chance, one or more clauses of the Contract (including GTC, CPC, and GVC) are deemed null and void, this nullity shall not result in the nullity of the entire contract, and said nullity must be strictly limited to the clauses in question.
1.11 Tout contrat passé entre le Client et la propre clientèle de ce dernier est inopposable au Vendeur. Il en va de même pour tout contrat passé entre le Client et les fournisseurs de ce dernier, ou, plus généralement, entre le Client et tout tiers.
1.12 Tout contrat antérieur conclu entre le Vendeur et le Client et dont l’objet est similaire aux dispositions du présent Contrat prend fin purement et simplement au jour de conclusion dudit Contrat. Le Client reconnait et accepte la perte automatique de l’ensemble des avantages et obligations antérieurement mises à sa charge au profit exclusif des avantages et obligations du présent Contrat et ce, sans recours possible, ni versement d’aucune indemnité par le Vendeur, ni responsabilité de ce dernier. Toutefois, les avantages et obligations du Client, notamment paiement, perdurent pour les commandes passées sous l’égide de l’ancienne convention susvisée.
1.13 The GTC, CPC, and GVC are subject to change, which the Client accepts in advance and without any reservation. The versions in effect to be considered at the time of the order are those appearing on the Seller's website: https://hairborist.pro/fr/. It is the Client's responsibility to familiarize themselves with these documents in effect before placing an order, as the Seller does not provide any spontaneous communication on this subject. However, the Seller is obliged to provide these documents in their latest version upon any request from the Client, regardless of the form of such request. This communication is free of charge.
2. ORDERS – OFFER
2.1 Toute commande engage définitivement le Client.
2.2 All orders must be placed by the Client exclusively and directly on the Seller's website: https://hairborist.pro/fr/. Each order will be validated by the Seller within a maximum of TWO working days (2 days).
2.3 Unless otherwise provided in the agreement, any order placed by the Client through a method other than that specified in article 2.2 above will incur a management fee of 30 euros excluding taxes (HT) per order, which the Client expressly accepts. This amount will be added to the total amount of the order excluding taxes (HT).
2.4 Toute commande passée par le Client via le webshop entraine automatiquement acceptation pure et simple par ce dernier de l’ensemble des clauses des CGC et CPC (le cas échéant) et CGV dans leur version en vigueur au jour de ladite commande, et ce, quelle que soit la forme de ladite commande.
2.6 Le Vendeur se réserve le droit de suspendre ou refuser purement et simplement toute commande, notamment dans le cas où le Client serait défaillant dans le respect de ses obligations contractuelles (ex: commande antérieure demeurée impayée même partiellement). Toute suspension ou refus de commande sera motivé.
2.6 Any cancellation of an order initiated by the Client binds the Client, who will then be immediately and fully liable for a flat fee of FORTY percent (40%) of the price excluding taxes (HT) of the canceled order, without prejudice to the Seller's right to claim additional damages, even through legal means.
2.7 All products available for sale under this contract are visible on the Seller's website: https://hairborist.pro/fr/. The list of available products is subject to change, particularly based on demand, best practices, or current and future regulations.
2.9 Seuls sont valables les prix tels qu’affichés sur ledit webshop du Vendeur, au moment de la passation de commande par le Client.
2.9 The information about the products sold and displayed by the Seller on its website or in catalogs, notices, price lists, or other technical documents is provided for informational purposes only and does not engage the Seller's liability. The Seller reserves the right to modify the information in these documents at any time and without notice, particularly due to changes in techniques, best practices, economic conditions, or legislation.
3. DELIVERY – TRANSPORT
3.1 The delivery of the products is made to the Seller's warehouse. This delivery immediately and automatically transfers the full and complete risk of the said products from the Seller to the Client, notwithstanding any retention of title clause.
3.2 All direct and indirect risks related to transport and customs regulations are the sole responsibility of the Client, who cannot hold the Seller liable in this regard.
3.3 Delivery times and, where applicable, transport times are provided for informational purposes only, and these times may vary depending on the availability of raw materials and semi-finished products, the carrier, the destination country, the geopolitical context, or cases of force majeure.
3.5 Aucune responsabilité du Vendeur ne pourra être recherchée du fait d’un retard de livraison et/ou de transport. De même, aucune indemnité ne sera due au Client en cas de non-respect de ces délais. Le Client ne pourra ni refuser la marchandise, ni annuler sa commande au motif d’un retard de livraison et/ou de transport.
3.6 Toute modification apportée à une commande entrainera automatiquement déchéance pure et simple de l’ensemble des délais de livraison et/ou de transport communiqués.
3.7 Le Vendeur se réserve le droit de fractionner la livraison et/ou le transport de produits, notamment en fonction des contraintes inhérentes à la commande du Client.
4. PRICE AND PAYMENT
4.1 The current price list of the products is the one displayed on the Seller's website (https://hairborist.pro/fr/) at the time the order is placed by the Client.
4.2 The total price of all products in an order is calculated based on the information provided by the Client at the time of the order (notably the quantity ordered). It is subject to adjustment, particularly in the case of new instructions, additional instructions, or erroneous instructions, which the client expressly accepts.
4.3 The price referred to in articles 4.1 and 4.2 is understood to be Excluding Taxes. It does not include duties, taxes (notably VAT), shipping costs, royalties, and taxes due under applicable tax and customs regulations, both national and international, which the Client will handle personally and which, if applicable, may be added to the total amount of the order as referred to in article 4.2 above.
4.4 Unless otherwise provided (Agreement, GTC or CPC), the price is payable in cash, without discount, at the place of issuance of the said invoice. It is payable at the time the order is placed by the Client. Only the actual receipt of the price by the Seller will trigger the obligation for the Seller to deliver the ordered products.
4.5 Any delay in payment by the Client will result in the application of contractual interest at the rate of EIGHT percent (8%) of the net price indicated on the invoice, after a period of THIRTY (30) days following the date of the order placed by the Client, or, in the case of payment terms defined between the Parties, from the day the Seller should have received the said price. These interests will be due by operation of law, without the need for any prior formal notice.
4.6 The failure to make total or partial payment of an invoice amount by the due date, after a period of EIGHT days (8 days) following receipt, or failing that, the first presentation of a formal notice by registered letter with acknowledgment of receipt that has remained unsuccessful, will result in the immediate and total forfeiture of all payment deadlines that may have been granted. The Client will thus be immediately liable for all unpaid invoices, which will become immediately due. This total amount will be increased by a flat fee corresponding to 12% of the total price excluding tax, said fee being subject to a conventional interest rate of EIGHT percent (8%).
4.7 In the case of articles 4.5 and 4.6, in addition to penalties, compensation, and late interest, a flat fee for collection costs of FORTY (40) euros will be automatically due from the Client. The Client will also bear all collection costs and fees related to any amicable or judicial proceedings, even if these are charged to the Seller.
4.8 In the event of the Client's failure to comply with any payment deadlines defined in the Agreement, the Seller reserves the right to suspend any ongoing and future services, without notice or compensation, and without prejudice to other actions, including legal actions.
4.9 In the event of a specific agreement between the Seller and the Client, particularly regarding payment facilities, it is understood between the parties that the Seller reserves the right to suspend any ongoing and future services, without notice or compensation, and without prejudice to other actions, including legal actions, as long as all previous orders, which are subject to the said payment facilities, have not been fully paid by the Client, notwithstanding the expiration of the said payment deadlines.
4.10 Les paiements ne peuvent être suspendus ni faire l’objet de compensations sans l’accord écrit du Vendeur. Tout paiement partiel s’imputera en priorité sur la partie non privilégiée des créances, puis selon l’ancienneté de la dette, en commençant par celle dont l’exigibilité est la plus ancienne.
5. CLAIMS – LIABILITIES
5.1 Any claim related to apparent defects or non-compliant deliveries must be notified in writing and by registered mail with acknowledgment of receipt within TWO days (2 days) from the delivery of the said products. Upon expiration of this period, the buyer will be deemed to have accepted the products as is, resulting in total and unconditional exemption from any liability of the Seller in this regard.
5.2 All hidden defects must be reported by the Client within EIGHT days (8 days) from the moment the said defects were discovered or should have normally been discovered, by registered letter with acknowledgment of receipt. No claim will be accepted after a period of THREE months (3 months) from the date of receipt of the products by the Client, the expiration of this period resulting in total and unconditional exemption from any liability of the Seller in this regard.
5.3 The Seller's liability shall always be limited to the replacement at its expense of defective goods, without being liable for any compensation for direct or indirect damage. If the defective goods cannot be replaced, liability shall always be limited to the maximum amount charged, without being liable for any compensation, regardless of the damage claimed.
5.4 Les limitations de responsabilité du fournisseur et du fabricant des marchandises s’appliquent également au Vendeur. Ce dernier ne peut pas non plus être tenu responsable de spécifications techniques incorrectes ou insuffisantes fournies par ses propres sous-traitants.
5.5 Any transformation, alteration, or modification made to the products by the Client, any direct or indirect employee of the Client, or any third party, whether by incorporation of substances, dilution, physical alteration (heating or cooling, exposure to sunlight, etc.) or chemical or otherwise, shall result in the automatic and complete forfeiture of the Seller's liability.
5.6 Toute manipulation postérieure du produit par le Client ou tout tiers, notamment dans le cadre d’un conditionnement, donnera lieu à la déchéance automatique et complète de la responsabilité du Vendeur notamment quant à la qualité ou la conformité dudit produit.
5.7 The Seller cannot be held liable due to a fault of the Client in the storage of the products. It is the Client's responsibility to obtain all necessary information from the Seller to ensure optimal storage of said products.
5.7. Aucune responsabilité ne pourra être invoquée contre le Vendeur en cas de dommages provoqués directement ou indirectement par une utilisation inappropriée des produits vendus.
5.9 The Client is solely responsible for all direct or indirect consequences of a failure to fulfill its obligation to inform and declare, particularly resulting from erroneous, incomplete, inapplicable, or late declarations or documents.
5.10 It is the Client's responsibility to provide its own customers with accurate information regarding the Seller's products. In this regard, the Seller reserves the right to review and modify the information displayed or published by the Client, regardless of the medium of such information. Any request for modification initiated by the Seller shall be immediately executed by the Client.
5.11 The Seller cannot be held liable due to a failure by the Client to communicate product-related information to its own customers.
5.12 All cases of force majeure release the Seller from any liability. The Seller is entitled to invoke force majeure, particularly in the event of a temporary or permanent hindrance to the total or partial performance of the contract due to circumstances or events that are not attributable to its fault or will, such as, but not limited to: war, strike, lockout, natural disaster, fire, explosion, epidemic or pandemic, delay or negligence in the performance by a third party of its obligations to the Seller, as well as any unforeseen circumstance of any kind that could disrupt the supply of raw materials, auxiliary products, or semi-finished products, or the production or shipping. The Seller will notify the Client as soon as possible of the existence and expected duration of the force majeure circumstances.
5.13 In the event of force majeure, the performance of the contract is suspended for a period corresponding to the duration of the force majeure, not to exceed a period of 60 days. Upon the expiration of this 60-day period, either party may, by written notice to the other party, consider the contract terminated by operation of law, without judicial intervention or compensation.
6. RESERVATION OF TITLE CLAUSE
6.1 Sauf convention écrite contraire, les produits resteront l’entière propriété du Vendeur jusqu’à complet paiement de leur prix par le Client, quand bien même lesdits produits comporteraient une incorporation d’un composant fourni par le Client, ou adjonction quelconque, ne serait-ce que sur son emballage. Cette clause de réserve de propriété est expressément acceptée par le Client.
6.2 Le Vendeur peut retenir les produits, notamment par application de la clause de réserve de propriété visée à l’article 6.1, jusqu’à parfait paiement par le Client.
6.3 Le Vendeur peut exercer son droit de propriété réservé en cas de non-paiement par l'acheteur du prix convenu dans les délais fixés dans les conditions de paiement convenues.
6.4 Sauf disposition écrite contraire, les risques directs ou indirects et relatifs aux produits et à tout traitement apporté à ces derniers sont transférés du Vendeur au Client au moment de la prise de possession des produits par le Client ou tout préposé de ce dernier, à l’usine ou à l’entrepôt du Vendeur.
6.5. Le Client ne peut pas disposer des biens tant que la propriété n'a pas été transférée à lui conformément aux termes de cette clause.
6.6 Le Client s'engage à prendre toutes les mesures raisonnables pour protéger la propriété des biens vendus et à les maintenir en bon état jusqu'à leur paiement intégral.
6.7 If the Client sells the goods before full payment of the agreed price, it agrees to immediately inform the end buyer and to prioritize and without limitation allocate all proceeds from the sale to the unpaid debt.
6.8 Le Vendeur peut exercer ses droits de propriété réservée en cas de non-respect des conditions de paiement convenues avec le Client.
6.9 Le Vendeur se réserve le droit de récupérer les biens vendus en cas de non-respect des conditions de paiement par le Client.
6.10 La présente clause de réserve de propriété ne porte pas atteinte aux autres droits et recours dont dispose le Vendeur en cas de non-paiement ou de non-respect des autres conditions de vente convenues.
7. DURATION OF THE CONTRACT – TERMINATION
7.1 The provisions of articles 7.2 and 7.3 apply in the absence of the Convention or, where applicable, the GTC and CPC.
7.2 This contract will come into effect upon its signature by both parties. It is concluded for a fixed term of one year from the date of signature. It will then be renewed by tacit agreement under the same conditions and for the same duration. Any conclusion of an amendment will reset the aforementioned term from the date of signature of said amendment.
7.3 Each party may terminate this contract at its expiration (or at the expiration of a renewal) by giving notice by registered letter with acknowledgment of receipt sent at least three months and at most six months before the said expiration, the postmark serving as proof.
7.4 Cases of immediate termination: all provisions of this contract, including GTC, CPC, and GCV, being substantial, each party may terminate the contract by right and with immediate effect if the other party breaches the contractual obligations and/or the obligation of good faith in the execution of the agreements. Such termination will result in a registered letter with prior acknowledgment of receipt, which will contain all the detailed elements characterizing the fault of the party and justifying the immediate termination. Furthermore, the Seller reserves the right to immediately suspend any service upon discovering the Client's breach, without prior warning and without recourse for the latter, nor payment of any compensation by the Seller.
7.5 No compensation may be claimed from either party in the event of the termination of the contract, whether this termination is due to the expiration of the contract, its non-renewal, or its cancellation, except in the case provided for in article 7.4 above, against the defaulting party.
8. APPLICABLE LAW – JURISDICTION CLAUSE
9.1 L’interprétation et l’exécution des présentes, ainsi que de tous actes et formalités qui en sont la conséquence sont soumis en tant que besoin au Droit Belge.
8.2 All disputes relating to the contractual relationships between the Parties shall fall under the exclusive jurisdiction of the Commercial Court of GENT, district of COURTRAI (Ondernemingsrechtbank Gent, afdeling Kortrijk), even in the case of a warranty claim, incidental requests, or multiple defendants, regardless of the payment terms.
9.3 L'application de la Convention de Vienne en matière de la vente internationale est exclue.
9. MISCELLANEOUS
9.1 All materials, including marketing materials, related to the Client's training, regardless of whether they are digital or physical, remain the sole property of the Seller. The Client agrees not to distribute or copy these materials, which will remain reserved for internal use.
10.2 Il appartient aux Parties de respecter l’ensemble des dispositions du Contrat, qui sont toutes substantielles. Plus particulièrement, le Client réservera son domaine d’action selon les avantages procurés par le Contrat, sans pouvoir excéder lesdits avantages. Notamment, le Client respectera les domaines d’exclusivité et/ou de revente et/ou d’utilisation des produits tels que définis dans le Contrat, et plus spécifiquement :
- • - Restriction de vente aux seuls consommateurs pour le Client exerçant une activité de e-commerce
- • - Respect des territoires d’exclusivité pour les Clients ayant une activité non numérique
10.3 Le Client pratiquant le vrac s’engage à s’informer et appliquer la règlementation afférente à ce mode de vente dans le pays au sein duquel il est implanté. Aucune responsabilité du Vendeur ne saurait être encourue du fait de la carence du Client à ce sujet
